in its definitive agreement to combine with NRG
Energy, Inc. in a $6 billion stock-for-stock tax-free transaction;
Exelon in its $7.9 billion stock-for-stock merger with Constellation
Energy Group; and Northeast Utilities in its merger-of-equals with
NSTAR to create one of the nation’s largest electric utilities with
an enterprise value of $17.5 billion.
Overview

matters, and we have handled a large number of major U.S. electric and gas utility merger and acquisition transactions over
the last 20 years.

performing extensive due diligence on the power and fuel supply

legal requirements; preparation and negotiation of necessary
