The compensation of the DTTL CEO is reviewed annually by the
Chairman and CEO Evaluation and CEO Compensation Committee and

The Committee reports on its findings objectively to the
Governance Committee and the Board and recommends the appropriate

Committee for approval by the Board. Other DTTL Board of Directors have
their compensation structure established by their respective member firms
according to their member firm processes.
Performance relative to goals is
evaluated as described in the Quality and Integrity section of this report.
Members of the DTTL Board do not receive fees by virtue of serving on
the Board. Please note that DTTL is not a client-facing entity and
therefore the “organization’s performance” may be difficult to measure
by objective standards.
